Perry Tarnofsky is an accomplished legal executive and business advisor with over 25 years of experience leading the legal function at both public and privately held companies in the software, technology, and consumer products industries. Perry has deep experience in complex commercial and technology agreements, M&A, financing transactions, corporate governance and compliance, SEC reporting, employment law, and dispute resolution, and brings a practical approach to problem solving that balances business objectives with risk tolerance while prioritizing growth.

Perry’s clients at OGC span a wide range of industries, including software, IT services, medical device manufacturing, consumer products, and the auto industry. Representative clients include Nexus Brands Group, Inc., Nissin International Transport USA, Inc., and Hyundai Motor America.
Prior to joining OGC, Perry served for seven years as General Counsel of Epicor Software Corporation, a publicly traded supplier of enterprise resource planning software. In this role, he completed nine acquisitions of complementary software products or companies in one year, enabling the company to expand its product offerings and increase revenues. Perry also created and implemented the software licenses and licensing program for Epicor’s shrinkwrap and enterprise software products, and conducted sales training on software licensing that reduced overselling of features and exposure to customer complaints. He also helped restructure the company following a restatement of earnings, an SEC investigation, and the removal of the senior management team.
Following his tenure at Epicor, Perry served for thirteen years as Vice President of Legal Affairs for Powerwave Technologies, Inc., a publicly held manufacturer and supplier of wireless infrastructure products and solutions for commercial and government markets. At Powerwave, he assisted in completing three strategic global acquisitions that grew revenues from $200 million to $900 million over three years. Perry also oversaw the development of a patent portfolio of 600-plus patents and developed the software licensing and open source software policies for the company’s first software products.
Additionally, Perry served as General Counsel for two privately held SaaS companies and a privately held manufacturer of consumer paper products.
Perry began his legal career in private practice as a corporate attorney in Orange County, California — first at Rutan & Tucker, and then at Stradling, Yocca, Carlson & Rauth. His practice involved a wide range of corporate and commercial transactions, including private and public financings and mergers and acquisitions. Perry earned his J.D. from Southern Methodist University Law School and a B.A. from the University of Southern California.
Perry grew up in Southern California and lives in Villa Park, California, with his wife and 17-year-old twin boys. He enjoys spending time with family, cooking, water sports and outdoor activities, gardening, golf, and hiking.
